ITU invites you to the SMB Knowledge Transfer on M&A in the IT business

On 4th September, the SMB Knowledge Transfer will take place, focusing on a relevant topic for the IT business—M&A transactions and tools in company development strategies.

 

This is a traditional and important event for small and medium-sized IT businesses, where participants will gain valuable insights from leading industry experts with experience in this sector.

 

When and where: September 4th, from 5:00 PM to 8:30 PM. Format: OFFLINE (Kyiv). 

 

Event Agenda:

  • 5:00 PM – 5:40 PM – Welcome coffee and registration
  • 5:40 PM – 5:45 PM – Opening remarks
  • 5:45 PM – 6:30 PM – Panel discussion: “M&A Tools in Growth Strategy”
  • 6:30 PM – 7:15 PM – Interview on “Selling a Business: Prospects for M&A Transactions in Ukraine”
  • 7:15 PM – 8:30 PM – Wine, sweets, and networking
 

A dynamic panel discussion in the format of a battle on ‘M&A tools in the development strategy’ awaits you. The moderator will be Oleksiy Uros, Vice President for Legal Affairs at IT Ukraine Association and Business Development Director at Asters. He will be joined by the following speakers:

  • Andriy Demchenko, CFO of Viseven
  • Serhiy Honcharevych, Managing Partner at Capital Times
 

Together, we will discuss:

  • What is Vendor Due Diligence (VDD) and why is it essential before concluding an M&A deal or attracting investment?
  • How to choose between organic growth and growth through an M&A deal?
  • How to attract financing for rapid IT company growth?
  • What should you consider when valuing a business in an M&A process?
 

Following the panel, there will be an interview titled “Selling a Business: Prospects for M&A Transactions in Ukraine.” Oleksiy Uros will conduct a conversation with Artem Kuzmenko, Partner of Corporate & M&A Practice at Eterna Law.

 

This will be an excellent opportunity to learn about:

  • Who can be the buyer of an IT business (outsourcing or product) and what factors affect the price?
  • What does the process of selling an IT company look like, including key stages and internal communications?
  • What hacks exist to increase the capitalization and sale price of an IT company?
  • What are the forms of settlement when selling an IT company, and what are their advantages and disadvantages?
  • What is the classic structure of IT companies, and how does it affect the sale, including important aspects in contracts with the company’s clients and engineers?
  • What is a non-compete agreement, and how long does it typically last?
  • What guides the buyer’s decision on whether to purchase assets or corporate rights?
 

After the official part, you are invited to continue the discussion over a glass of wine and sweets, where you can further exchange ideas and make new business contacts.
