Benefits of IT Ukraine Membership: e-Support Legal Case Studies

In the reality of constant change and growing risks, it is essential for IT businesses to have trusted partners capable of providing support in resolving legal issues and countering cyber threats.

 

e-Support is a complimentary service for member companies of the IT Ukraine Association. It provides rapid, professional assistance with legal, investment, M&A, and cybersecurity matters, strengthening business security within both digital and information environments.

 

The service operates in partnership with Ukraine’s leading law firms and cybersecurity experts, all of whom are fellow members of the IT Ukraine Association.

 

Within the framework of e-Support by the IT Ukraine Association, we submitted a corporate request regarding the documentation of a consensus-based decision-making process between three equal co-owners (1/3 each). This was intended for subsequent inclusion in a Shareholders’ Agreement (SHA) for a company registered in Chicago, Illinois. The Association’s team processed the request promptly, accurately structured the initial issues, and ensured the involvement of a specialised legal partner within the agreed timeframe. We are grateful to the IT Ukraine Association and Juscutum for their professional guidance and a result that fully met our expectations. The company received legal recommendations on structuring and documenting decision-making processes between three equal co-owners with various voting thresholds. The deliverables covered key corporate matters — from strategy and investment to financial targets, dividends, and the transfer of shares — and were prepared for inclusion in a Shareholders’ Agreement under the laws of the State of Illinois.

 

Another company submitted a request regarding the eligibility criteria for joining the Diia.City legal regime, as well as the terms and procedures for employee deferment.

 

We received professional legal advice regarding our company’s participation in the Diia.City legal regime, as well as related issues of operational organisation and compliance. The request covered general requirements and residency criteria, as well as practical steps for preparing documentation and internal processes. During the consultation, the terms and procedures for acquiring Diia.City resident status were explained in detail, along with potential engagement models for specialists (labour contracts vs. gig-contracts), key risks, and typical errors that could impact compliance with the regime’s requirements. Furthermore, we were provided with structured recommendations for next steps: which documents and resolutions should be prepared, which actions to prioritise, and how to organise the process to minimise risks and avoid redundant revisions. Despite the extensive range of questions, we received exhaustive and practically applicable answers. We appreciate the speed, systematic approach, and clear recommendations that we could put into practice immediately
